# Critical dates in commercial leases: what they are and how to track them | Leaseful

Lease critical dates are the deadlines and windows in a lease that carry consequences. They mark when a right can be exercised, a payment changes, an obligation begins, or an option expires.

Most critical dates are not written as calendar dates. They appear as rules tied to other dates, such as 180 days before expiration or 30 days after a request. Someone has to identify the controlling date, apply the rule, and calculate the result.

## The critical dates most leases contain

The commencement date usually starts the lease term, while the rent commencement date starts the obligation to pay base rent. They can differ when a tenant receives a construction period or several months of free rent. The expiration date marks the end of the term and often anchors several other deadlines.

Renewal rights usually require notice during a defined period before expiration. Both ends of these [renewal option deadlines](https://leaseful.ai/learn/lease-renewal-option-deadlines/) matter because notice may be invalid if it is early or late.

Termination rights allow a party to end the lease before its scheduled expiration if stated conditions are met. A kick-out right is a right to end the lease early if a condition, such as a sales threshold, is not met. It often includes a measurement period followed by a short notice window.

Expansion rights let a tenant add space under stated conditions. A right of first refusal lets its holder match a deal that the owner is prepared to accept from someone else. A right of first offer requires the owner to offer available space to the holder before marketing it to others. Each right may carry a brief response deadline.

Common area maintenance, or CAM, reconciliation provisions may limit how long a tenant has to review annual charges, request records, or begin an audit. Rent escalation dates mark scheduled increases in base rent. Co-tenancy clauses, which connect a tenant’s obligations or remedies to the occupancy of other tenants, may establish a cure period and a separate deadline for claiming a remedy.

An estoppel certificate is a signed statement confirming the lease’s current terms. A lease commonly requires a response within a stated number of days after a request, which makes the request date the anchor for the deadline.

## Why critical dates are dangerous

Critical dates in a commercial lease are usually relative rather than absolute. A rule such as “nine months before expiration” has no usable calendar value until the correct expiration date is known.

Many critical dates are windows with an opening and a closing. Recording only the final day can hide a prohibition on acting too early and leaves no clear point for starting the decision process.

Amendments can move the dates that serve as anchors. If an amendment extends expiration, every renewal, termination, or notice date calculated from expiration may move with it. The full chain must be recomputed.

Rights often expire if no one acts within the required window. The counterparty may have no duty to send a reminder, and the clause may provide no grace period. Losing a renewal or audit right can cost far more than the administrative work required to track it.

## Computing a critical date from a clause

First identify the anchor date that currently governs after every amendment has been applied. Then apply the period stated in the clause. Resolve questions the clause leaves open, including whether it means calendar days or business days, how to calculate from the end of a month, and whether a deadline moves when it falls on a weekend.

Assume a lease expires December 31, 2028, and a termination notice must be delivered at least 120 calendar days before expiration. Counting back 120 days produces September 2, 2028. That date still needs to be checked against the lease’s delivery rules and any provision governing weekend deadlines.

Record the clause language next to the computed date so someone can verify the anchor, calculation, and notice requirement years later.

## Tracking critical dates in practice

Effective critical date tracking starts when the lease is signed. Calendar both ends of every window and place an internal decision point well before the closing date.

Assign each event an owner and a backup. Store the supporting clause with the calendar entry so another person can verify what must happen and why, even years later.

After every amendment, identify each changed anchor and re-derive every dependent date. Updating only the amended expiration date leaves the related deadlines wrong.
